These Terms of Service (“Terms”) govern your access to and use of TalentRise (“Platform,” “we,” “us,” “our”). By creating an account, submitting content, or browsing the Platform, you agree to these Terms in full. If you do not agree, you must not use the Platform.

1. Eligibility

• You must be at least 13 years old to use the Platform (16 in the EEA).
• If you are under 18, you must have verifiable parental or guardian consent.
• You must not have been previously suspended or permanently banned from the Platform.
• By using the Platform, you represent and warrant that you meet all eligibility requirements.

2. Account Registration

• You must provide accurate and complete information during registration.
• You are responsible for maintaining the confidentiality of your password.
• You are responsible for all activities that occur under your account.
• Notify us immediately at support@skitmanna.com if you suspect unauthorised access to your account.
• One person may not maintain more than one active account without express written permission.

3. User-Generated Content (UGC)

3.1 Your Content

You retain ownership of content you upload (“Your Content”). By submitting content to TalentRise, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform Your Content in connection with operating and promoting the Platform.

3.2 Content Standards

You agree that Your Content will not:

• Infringe any third party’s copyright, trademark, patent, trade secret, or other intellectual property rights.
• Contain nudity, sexually explicit material, graphic violence, or gore.
• Harass, bully, threaten, or demean any individual or group.
• Promote hate speech, discrimination, or violence based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
• Violate any applicable law or regulation.
• Contain spam, malware, phishing links, or deceptive content.
• Impersonate any person, entity, or brand.
• Contain minors in a sexual, exploitative, or endangering context (zero-tolerance policy).

3.3 Content Moderation

We reserve the right (but have no obligation) to review, remove, or restrict access to any content that we, in our sole discretion, determine violates these Terms or is otherwise objectionable. Removal of content does not waive our right to pursue other remedies.

4. Competitions & Voting

• Competition rules, prizes, eligibility, and schedules are announced on the Platform and are incorporated into these Terms by reference.
• We reserve the right to disqualify participants who engage in vote manipulation, botting, or any form of cheating.
• All decisions made by TalentRise regarding competition outcomes are final and binding.
• Prizes, if offered, are non-transferable and may be subject to applicable taxes.

5. Advertising

The Platform displays advertisements from Google AdSense and other third-party advertising networks. These ads help fund the free services we provide. You acknowledge that:

• We do not endorse the products or services advertised.
• Clicking on advertisements may take you to third-party websites subject to their own terms.
• You will not click on ads in a fraudulent or artificial manner, including using automated tools or bots.

6. Intellectual Property

• The TalentRise name, logo, design, software, and all Platform content not created by users is our exclusive property or licensed to us.
• You may not copy, reproduce, distribute, or create derivative works of Platform content without our express written consent.
• If you believe content on the Platform infringes your copyright, please review our DMCA Policy.

7. Prohibited Conduct

You agree not to:

• Access the Platform by any means other than through our official interfaces.
• Scrape, crawl, or use automated tools to collect data from the Platform.
• Attempt to gain unauthorised access to our systems, servers, or databases.
• Upload or transmit viruses, malware, or other harmful code.
• Engage in any activity that disrupts or degrades Platform performance.
• Circumvent any security, rate-limiting, or authentication measures.
• Use the Platform to send unsolicited commercial messages.

8. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TalentRise AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM.

Our total liability to you for any claim arising out of or relating to these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) USD $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless TalentRise and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgements, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Platform, Your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Platform ceases. Provisions of these Terms that by their nature should survive termination shall survive.

13. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the jurisdiction in which TalentRise operates, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

14. Changes to Terms

We reserve the right to update these Terms at any time. We will provide notice of material changes by posting a notice on the Platform or emailing registered users. Continued use of the Platform after changes become effective constitutes acceptance of the new Terms.
