1. Parties

This EULA is a legal agreement between you (“End User” or “User”) and TalentRise (“Licensor,” “we,” “us,” “our”) for the use of the TalentRise Platform, including its website, mobile-optimised web application, APIs, and all associated services (collectively, the “Software” or “Platform”).

2. Grant of Licence

Subject to your compliance with this EULA, TalentRise grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Platform solely for your personal, non-commercial use in accordance with this EULA and our Terms of Service.

3. Restrictions

You may not:

• Copy, modify, distribute, sell, lease, or sublicense the Platform or any component thereof.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform, except to the extent permitted by applicable law.
• Remove or alter any proprietary notices, labels, or marks on the Platform.
• Use the Platform to create a competing product or service.
• Use automated scripts, bots, scrapers, crawlers, or similar tools to access, interact with, or collect data from the Platform.
• Circumvent any technological protection measures implemented in the Platform.
• Use the Platform for any unlawful purpose or in violation of any local, national, or international law or regulation.
• Access the Platform in ways not expressly permitted by this EULA.

4. Intellectual Property Ownership

The Platform, including all underlying software, design, user interface, graphics, text, and other content created by TalentRise, is and remains the exclusive property of TalentRise and its licensors. This EULA grants you no ownership rights whatsoever. All rights not expressly granted are reserved by TalentRise.

User-generated content remains the property of the respective users who submitted it, subject to the licence granted in our Terms of Service.

5. User-Generated Content

TalentRise is a user-generated content platform. We provide infrastructure and tools that allow users to upload, share, and interact with content created by third parties. We do not pre-screen user content and are not responsible for the nature, accuracy, or legality of user-generated content. Users who submit content warrant that:

• They own the content or have all necessary rights and permissions to submit it.
• The content does not infringe any third-party intellectual property rights.
• The content complies with all applicable laws and our content standards.

6. Software Updates

TalentRise may from time to time update the Platform. Updates may include new features, bug fixes, security patches, or changes that affect functionality. By continuing to use the Platform after an update, you accept the updated version. We are not obliged to provide updates or to maintain backward compatibility.

7. Advertising

The Platform incorporates third-party advertising services, including Google AdSense. These services may install or access cookies on your device and collect data about your usage in order to serve targeted advertisements. Advertising is integral to the free availability of the Platform. Use of the Platform constitutes consent to the display of advertising in accordance with our Privacy Policy and Cookie Policy.

8. Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into this EULA by reference. By using the Platform, you consent to data practices described in the Privacy Policy.

9. Term and Termination

This EULA is effective from the date you first use the Platform and continues until terminated. TalentRise may terminate this EULA immediately and without notice if you breach any of its terms. Upon termination:

• Your licence to use the Platform immediately ceases.
• You must stop all use of the Platform.
• Sections of this EULA that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall survive.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TalentRise EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE ERROR-FREE, OR BE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TalentRise SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS EULA OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING YOUR CLAIM, OR (B) USD $50.

12. Indemnification

You agree to indemnify, defend, and hold harmless TalentRise and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgements, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of this EULA or your use of the Platform, including but not limited to content you submit.

13. Export Compliance

You represent and warrant that you are not located in a country subject to a U.S. or applicable government embargo, and that you are not listed on any U.S. or applicable government list of prohibited or restricted parties. You agree to comply with all applicable export control laws.

14. Governing Law

This EULA shall be governed by and construed in accordance with applicable law, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction where TalentRise operates.

15. Entire Agreement

This EULA, together with our Terms of Service, Privacy Policy, and Cookie Policy, constitutes the entire agreement between you and TalentRise regarding your use of the Platform and supersedes all prior agreements, understandings, or representations.

16. Severability

If any provision of this EULA is held to be invalid or unenforceable, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
